How UAE Corporate Tax Works

The UAE applies a standard 9% corporate tax rate above a AED 375,000 profit threshold. Free zone companies sit under a separate regime: a Qualifying Free Zone Person can benefit from a 0% rate, but only on Qualifying Income, and only for as long as the qualifying conditions continue to be met. Free zone status on its own does not exempt a company from tax.

Qualifying Free Zone Person Status: What It Actually Means

To be treated as a Qualifying Free Zone Person, a business must meet a specific set of conditions set by the Federal Tax Authority, and its activities must fall within Qualifying Activities rather than Excluded Activities. Income is then split between Qualifying Income, taxed at 0%, and non-qualifying income, taxed at the standard 9% rate, with a de minimis allowance for a small proportion of non-qualifying revenue. Whether a given business and its income actually qualify depends on its specific facts, and that assessment has to be made and maintained on an ongoing basis, not assumed at setup. FAQ

Frequently Asked Questions

Does a UAE free zone company automatically pay 0% tax?

No. Only Qualifying Income earned by a Qualifying Free Zone Person is taxed at 0%; non-qualifying income is taxed at the standard 9% rate, and the qualifying conditions must be met on an ongoing basis, not just at setup.

What is a Qualifying Free Zone Person?

A UAE free zone entity that meets specific conditions set by the Federal Tax Authority, including maintaining adequate substance and carrying out Qualifying Activities. Whether a business meets this status depends on its specific facts. (Source: Federal Tax Authority, Corporate Tax Guide on Free Zone Persons, tax.gov.ae)

What happens if my business doesn't meet the Qualifying Free Zone Person conditions?

Income is taxed under the standard regime rather than at the 0% rate, which is why we build the qualifying conditions into the structure from the outset and monitor them on an ongoing basis.
